1. Agreement to Terms

By accessing or using the websites, funnels, automation systems, consulting and related services provided by NewAge Tech Solution (“we”, “us”, “our”), you agree to be bound by these Terms of Service and any additional agreements referenced here.

If you do not agree with these Terms, you should not use our websites or engage our services.

2. Services We Provide

NewAge Tech Solution offers strategy, design, development and implementation of digital systems including websites, sales funnels, marketing automation, analytics, integrations and technical support for clients.

The exact scope of work, deliverables, timelines and pricing for a specific project are defined in a separate proposal, order form or service agreement accepted by you.

3. Client Responsibilities

To enable smooth delivery, you agree to provide accurate information and cooperate with our team in a timely manner.

  • Provide access to required platforms (hosting, domains, email tools, CRMs, ad accounts, payment gateways) or create accounts as requested.
  • Supply content such as copy, images, videos, brand assets and product information, unless content creation is explicitly included in the scope.
  • Review and approve drafts, designs and milestones within the timelines agreed in the project plan so that work can progress.
  • Ensure that all content and offers comply with applicable laws and that you have the rights to use any material you provide.

4. Payments, Invoices and Refunds

Pricing and payment terms will be outlined in each proposal or order form. Unless stated otherwise, project work begins after receipt of the initial payment or retainer.

  • Invoices are due on the dates specified, and late payments may delay delivery or temporarily pause work.
  • For fixed‑fee projects, staged payments are usually tied to milestones such as design approval, development completion and launch.
  • For retainers or ongoing services, fees are typically charged in advance for the upcoming period.
  • Because a significant amount of planning and time is invested early in projects, fees already paid are generally non‑refundable, except where required by law or explicitly agreed in writing.

5. Intellectual Property

We respect your brand and assets, and we expect the same with respect to our frameworks, templates and internal tools.

  • All content, logos, trademarks and materials you provide remain your property. You grant us a limited licence to use them solely for the purpose of delivering the agreed services.
  • Custom designs, code and configurations created specifically for your project are typically licensed to you for use in your business, subject to full payment of agreed fees.
  • Our internal processes, starter templates, scripts, automations and reusable components remain our intellectual property and may be used by us in other client projects.

6. Use of Third‑Party Tools and Platforms

Many solutions we build rely on third‑party platforms such as hosting providers, CRMs, email services, payment gateways, webinar tools and analytics services.

You are responsible for maintaining your own accounts, subscriptions and compliance with the terms of those third‑party providers. We are not responsible for outages, changes in pricing, policy updates or technical issues caused by third‑party tools.

7. Warranties and Disclaimers

We aim to deliver high‑quality, well‑tested systems, but technology and markets change quickly. For this reason, our services are provided on an “as‑is” and “as‑available” basis.

  • We do not guarantee specific revenue, lead or conversion results, as performance depends on multiple factors including your offers, pricing, traffic quality and execution.
  • We cannot warrant that websites and systems will be completely error‑free or available without interruption at all times.
  • To the maximum extent permitted by law, we disclaim any implied warranties of merchantability, fitness for a particular purpose and non‑infringement.

8. Limitation of Liability

To the fullest extent allowed by applicable law, NewAge Tech Solution and its team shall not be liable for any indirect, incidental, consequential or special damages arising out of or relating to the use of our services.

Where liability cannot be excluded, it will be limited to the total amount of fees you have paid to us for the specific project or service during the twelve (12) months preceding the event giving rise to the claim.

9. Changes, Delays and Scope Adjustments

We understand that projects evolve, and sometimes you may need changes beyond the original scope.

  • Any additional work, new features or major revisions requested after scope approval may require a change order with adjusted timelines and fees.
  • Delays caused by missing content, approvals, access or payments may shift project timelines; we are not liable for delays caused by such factors.
  • If a project is paused for an extended period by you, a re‑activation fee or updated proposal may be required to resume work.

10. Confidentiality

Both parties agree to keep confidential any non‑public information shared in the course of working together, including business strategies, pricing, funnels, automation logic and customer data.

We may showcase non‑sensitive aspects of completed projects (such as public‑facing pages and generic case studies) in our portfolio or marketing materials, unless you specifically request otherwise in writing.

11. Termination

Either party may terminate an agreement for a specific project or retainer if the other party materially breaches these Terms and fails to remedy the breach within a reasonable time after written notice.

Upon termination, you will remain responsible for fees due for work already completed or committed. After settlement, we will provide mutually agreed deliverables in their current state.

12. Governing Law and Dispute Resolution

These Terms of Service are governed by the laws of India, without regard to conflict of law principles. Any disputes arising out of or relating to our services will first be addressed through good‑faith discussion.

If a resolution cannot be reached informally, the matter may be referred to mediation or arbitration in India, or to the competent courts in the jurisdiction where NewAge Tech Solution operates, as mutually agreed.

13. Updates to These Terms

We may update these Terms of Service periodically to reflect changes in our services, pricing models, legal requirements or internal policies. The “last updated” date near the top indicates when they were most recently revised.

Continued use of our websites or services after changes take effect will be treated as acceptance of the updated Terms.
